Terms and Conditions

These Terms of Service (“Terms”) are an agreement between you and Zip Yacht (“Zip Yacht,” “we,” “us,” or “our”), an AI-native yacht management software company based in Fort Lauderdale, Florida. They cover your use of zipyacht.com and our software, apps, crew board, directory, AI features, and related services (together, the “Services”). By using the Services, you agree to these Terms and to our Privacy Policy. If you don’t agree, please don’t use the Services.

1. Using the site and Services

You may use the Services only in line with these Terms and applicable law. You must be at least 18 years old, or the age of majority where you live, to create an account. If you use the Services on behalf of a yacht, management company, or other organization, you confirm that you have authority to accept these Terms for it, and “you” includes that organization.

We may change, add, or remove features at any time. Some features may be offered as a beta or preview and may not work perfectly.

2. Accounts

  • Give us accurate information and keep it up to date.
  • Keep your login details confidential. You are responsible for activity under your account.
  • Tell us right away at ZipYacht@zipyacht.com if you think your account has been used without permission.
  • Account owners are responsible for the team members they invite and the access they give them.

We may suspend or close an account that breaks these Terms or puts the Services or other users at risk. You can close your account at any time by emailing us.

3. Subscriptions and fees

Some Services are free and some require a paid subscription, membership, or listing fee. Prices and plan details are shown at sign-up or in your order. Unless stated otherwise:

  • Paid plans renew automatically for the same period until you cancel.
  • You authorize us and our payment processor to charge your payment method for fees and any applicable taxes.
  • You can cancel at any time. Cancellation takes effect at the end of the current billing period.
  • Fees already paid are non-refundable, except where required by law or where we say otherwise in writing.
  • We may change prices with advance notice. New prices apply from your next billing period.

4. AI-generated content

The Services use artificial intelligence to produce text, summaries, checklists, recommendations, and other output. AI output can be wrong, incomplete, or out of date. It is provided for information and convenience only and is not professional advice (including engineering, legal, tax, medical, or safety advice). You are responsible for reviewing AI output and for any decisions you make based on it. Always follow the vessel’s safety management system, manufacturer guidance, flag and class requirements, and the judgment of qualified professionals. Do not rely on AI output for navigation or emergencies.

5. Acceptable use

You agree not to:

  • Break any law or regulation, or infringe anyone’s rights.
  • Post false, misleading, defamatory, harassing, or discriminatory content, including fake job listings, profiles, or reviews.
  • Upload malware or try to interfere with, overload, or gain unauthorized access to the Services or other accounts.
  • Scrape, copy, or harvest data from the Services (including contact details of crew or businesses) without our written permission.
  • Use the Services to send spam or unsolicited messages.
  • Reverse engineer the Services, except where the law allows it.
  • Resell or sublicense the Services without our written permission.

6. Your content

You own the content you put into the Services, such as vessel records, documents, listings, and profiles. You give Zip Yacht a limited license to host, store, copy, process, and display that content only as needed to run and improve the Services and as described in our Privacy Policy. Content you choose to make public (for example, a crew board listing or a review) may be shown to other users and visitors. You confirm you have the rights to the content you submit.

7. Intellectual property

The Services, including the software, design, text, graphics, logos, and the “Zip Yacht” and “ZipYacht” names, belong to Zip Yacht or its licensors and are protected by intellectual property laws. We give you a limited, non-exclusive, non-transferable, revocable right to use the Services under these Terms. No other rights are granted. If you send us feedback or ideas, we may use them without any obligation to you.

8. Third-party services and listings

The Services may include directory listings, links, or integrations from third parties, such as marine businesses and service providers. We do not control and are not responsible for third-party services, and a listing is not an endorsement. Your dealings with third parties are between you and them.

9. Text messaging (SMS) terms

Program description. If you opt in, Zip Yacht will send text messages about appointment and demo scheduling, customer support, and account updates from Zip Yacht.

Message frequency varies. Message and data rates may apply. Reply STOP to opt out at any time; you will receive one final message confirming you have been unsubscribed. Reply HELP for help, or email ZipYacht@zipyacht.com. Consent to receive text messages is not a condition of purchase.

Carriers are not liable for delayed or undelivered messages.

Mobile numbers and SMS opt-in consent are not shared with or sold to third parties or affiliates for marketing or promotional purposes. For details, see our Privacy Policy at zipyacht.com/privacy-policy.

10. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT ALLOWED BY LAW, ZIP YACHT DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. We do not promise that the Services will be uninterrupted, error-free, or secure, or that any content, including AI output and third-party listings, is accurate or reliable.

11. Limitation of liability

TO THE FULLEST EXTENT ALLOWED BY LAW, ZIP YACHT AND ITS OWNERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO THE SERVICES OR THESE TERMS. OUR TOTAL LIABILITY FOR ANY CLAIM RELATED TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE SERVICES IN THE 12 MONTHS BEFORE THE CLAIM AROSE, OR (B) ONE HUNDRED U.S. DOLLARS (US$100). Some places do not allow certain limitations, so some of these may not apply to you.

12. Indemnity

You agree to defend and hold harmless Zip Yacht from claims, losses, and expenses (including reasonable attorneys’ fees) arising from your content, your use of the Services, or your breach of these Terms.

13. Governing law

These Terms are governed by the laws of the State of Florida, USA, without regard to its conflict-of-law rules. Any dispute will be brought exclusively in the state or federal courts located in Broward County, Florida, and you and Zip Yacht consent to the jurisdiction of those courts.

14. Changes to these Terms

We may update these Terms from time to time. When we do, we will change the effective date at the top of this page. If we make material changes, we will give additional notice, such as a notice on the site or an email to account holders. Your continued use of the Services after the update means you accept the revised Terms.

15. General

If any part of these Terms is found unenforceable, the rest stays in effect. Our failure to enforce a right is not a waiver. You may not transfer these Terms without our consent; we may transfer them as part of a merger, acquisition, or sale of assets. These Terms and our Privacy Policy are the entire agreement between you and Zip Yacht about the Services.
